Fallon and Atrius Health to join forces

WORCESTER  —  Fallon Clinic Inc., a 250-physician group practice, said today it would affiliate with Atrius Health Inc., the state's largest private medical practice group.

The 78-year-old Fallon Clinic, which converted from for-profit to not-for-profit status in 2006, said in March that it was in discussions with Newton-based Atrius, an affiliation of Dedham Medical Associates, Granite Medical, Harvard Vanguard Medical Associates, Southboro Medical Group and South Shore Medical Center.

Fallon Clinic will continue to be locally operated as a medical group serving Central Massachusetts, the organizations said in a statement.

"Fallon Clinic and the Atrius Health groups share a similar history, culture and an unparalled commitment to providing our patients with the highest quality of care possibile," said Dr. Jack Dutzar, president and chief executive of Fallon Clinic.

"With the addition of Fallon Clinic, we will be poised to demonstrate how physicians can lead the way to provide truly patient-centered care, more effectively manage the health care dollar, and offer enhanced care in the communities we serve," said Dr. Gene Lindsey, president and CEO of Atrius Health.

Fallon and Atrius have agreed to provide advance information about future contracts with other major health insurance companies, a move to settle antitrust issues raised over the planned affiliation of the two companies.

Attorney General Martha Coakley announced the Assurance of Discontinuance agreement today and said it calls for the companies to provide contract terms and financial analysis of health insurance contracts 30 days in advance for government review.

The agreement with the Attorney General's office filed in Suffolk Superior Court will last for 10 years or through the next two contract cycles with those companies and will help guard against unwarranted price increases, according to the attorney general.

“At a time when health care costs are a major concern for individuals and businesses throughout the Commonwealth, my office will continue to examine market affiliations to ensure potential benefits to consumers outweigh potential anticompetitive effects,” Ms. Coakley said in a statement announcing the agreement.
